Vulcan Logic Prevails in Delaware NDA Case

In the recent case of Martin Marietta v. Vulcan Materials, 2012 WL 1605146 (Del. Ch. May 4, 2012), the Delaware Chancery Court went to great lengths in pursuing the language of a nondisclosure agreement (NDA) to determine whether "between" referred to a benign cooperative transaction rather than a hostile takeover.
